2.1 "Licensed Content" refers to all eligible songs, music videos, lyrics, instrumentals, images, and other generated materials created by the Licensee through the Platform during an active yearly subscription period.

2.2 "Commercial Use" includes any lawful use of the Licensed Content, including sales, licensing, distribution, playback, adaptation, public performance, synchronization, publishing, advertising, monetization, and release through music platforms, distributors, or aggregators.

2.3 "Music Platforms and Distributors" include but are not limited to Apple Music, Spotify, YouTube, TuneCore, DistroKid, SoundCloud, YouTube Music, Amazon Music, TikTok, Instagram, Facebook, Deezer, Tidal, Bandcamp, and similar current or future services.

2.4 "Subscription Period" refers to the paid subscription period for which the Licensee has paid.

The Licensee is authorized to use the licensed works in all of the following scenarios:

4.1 The Platform hereby grants the Licensee complete, perpetual, worldwide ownership and rights of use for all eligible songs, music videos, lyrics, instrumentals, images, and other generated content created by the Licensee through the Platform during the active yearly subscription period.

4.2 The rights granted to the Licensee include but are not limited to:

• Right to use, copy, store, and modify the generated content
• Right to distribute, publish, and list the content through any media channels
• Right to create and exploit derivative works
• Right to publicly display, perform, and broadcast the content
• Right to use works for commercial purposes without revenue sharing, extra license fees, usage caps, or platform approval
• Right to sublicense any of the above rights to third parties
• Right to use for merchandising, product licensing, software, applications, and digital products
• Right to synchronize with visual media and use across current and future media formats
• Right to remix, sample, and create lawful adaptations
• Right to monetize the licensed song(s) on streaming services, social platforms, advertisements, games, films, podcasts, live streams, and client projects
• Right to release, distribute, publish, and monetize the licensed song(s) through Apple Music, Spotify, YouTube, TuneCore, DistroKid, SoundCloud, YouTube Music, Amazon Music, TikTok, Instagram, Facebook, Deezer, Tidal, Bandcamp, and similar music platforms, distributors, or aggregators

4.3 This general commercial license is available to yearly subscribers and applies to all eligible songs, music videos, lyrics, instrumentals, images, and other generated content created by the Licensee through the Platform during the active yearly subscription period.

4.4 The commercial rights granted herein survive the expiration, cancellation, non-renewal, or termination of the yearly subscription and remain valid indefinitely for content generated during the eligible yearly subscription. Once the Licensee has obtained this commercial license agreement, the covered content retains its commercial license rights forever, even after the subscription expires.

4.5 Subject only to applicable law and the Platform's terms against illegal or harmful use, the Licensee may use the licensed song(s) freely, worldwide, in perpetuity, across current and future technologies, platforms, media formats, and distribution methods.

4.6 For clarity, the Licensee may upload, publish, distribute, collect royalties from, and otherwise monetize the licensed song(s) on music streaming platforms and distribution services, including Apple Music, Spotify, YouTube, TuneCore, DistroKid, SoundCloud, and similar services, without additional approval from the Platform.

5.1 The Licensee commits to comply with the Platform's terms of use and policies.

5.2 The Licensee commits not to use the generated content for illegal, infringing, deceptive, or harmful purposes.

5.3 The Licensee acknowledges the usage rights granted in this agreement.

6.1 The Platform warrants that it has the necessary rights and authorization to provide the services described in this agreement.

6.2 The Platform warrants that, to the best of its knowledge, generated content provided through the Platform is not intentionally designed to infringe third-party copyrights.

6.3 The Platform grants commercial usage rights for eligible content generated on the Platform in accordance with applicable model, service, and subscription terms.

6.4 The Platform makes no warranties regarding the quality, merchantability, uniqueness, or fitness for a particular purpose of the generated content.

7.1 The Platform shall not be liable for indirect, incidental, special, consequential, or punitive losses caused by the Licensee's use of generated content.

7.2 The Licensee assumes responsibility for the publication, distribution, monetization, and legal review of generated content in their own use cases.
